Acceptance of Terms

By accessing and using the services provided by philankddj B.V. ("philankddj", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service apply to all visitors, users, and others who access or use our services, including our website, consultation services, and any related business services provided by philankddj.

philankddj provides professional business services including but not limited to strategic consulting, process optimisation, team development, performance analysis, risk management, and innovation strategy. Our services are designed to help businesses improve their operations and achieve their objectives.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice. We also reserve the right to refuse service to anyone for any reason at any time.

User Obligations

When using our services, you agree to:

• Respect the intellectual property rights of philankddj and third parties
• Not interfere with or disrupt our services or servers

Payment Terms

Payment terms for philankddj services are specified in individual service agreements or invoices. Unless otherwise agreed in writing, payment is due within 30 days of invoice date. All fees are exclusive of applicable taxes, which will be added where required by law.

Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. philankddj reserves the right to suspend services for overdue accounts.

Intellectual Property

The service and its original content, features, and functionality are and will remain the exclusive property of philankddj and its licensors. The service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Any materials, methodologies, or deliverables created by philankddj in the course of providing services remain the intellectual property of philankddj unless otherwise specified in a written agreement. Clients receive a license to use such materials for their intended business purposes.

You retain ownership of any intellectual property you provide to us, but grant philankddj a license to use such materials as necessary to provide our services.

Confidentiality

philankddj acknowledges that during the course of providing services, we may have access to confidential information belonging to our clients. We agree to maintain the confidentiality of such information and not to disclose it to third parties without prior written consent, except as required by law.

This obligation of confidentiality shall survive the termination of our service relationship and continue indefinitely unless the information becomes publicly available through no breach of this agreement.

Limitation of Liability

To the maximum extent permitted by applicable law, philankddj shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

In no event shall philankddj's total liability to you for all damages, losses, and causes of action exceed the amount paid by you to philankddj for the specific service giving rise to the claim during the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

Disclaimer

The information and services provided by philankddj are provided on an "as is" basis. To the fullest extent permitted by law, philankddj excludes all representations, warranties, and conditions relating to our services, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

While we strive to provide accurate and up-to-date information, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability of our services for any purpose.

Indemnification

You agree to defend, indemnify, and hold harmless philankddj and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to our services
• Your violation of any term of these Terms of Service
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your use caused damage to a third party

Termination

Either party may terminate a service agreement with reasonable notice as specified in the individual agreement. philankddj may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms of Service.

Upon termination, your right to use our services will cease immediately. If you wish to terminate your account, you may simply discontinue using our services and notify us in writing.

All provisions of the Terms of Service which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Force Majeure

philankddj shall not be liable for any failure or delay in performance under these Terms of Service which is due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government regulations, or other force majeure events.

Governing Law

These Terms of Service shall be interpreted and governed by the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms of Service shall be subject to the exclusive jurisdiction of the courts of the Netherlands.

The European Union's regulations, including the General Data Protection Regulation (GDPR), shall apply where relevant to our processing of personal data.

Severability

If any provision of these Terms of Service is held to be invalid or unenforceable by a court, the remaining provisions of these Terms of Service will remain in effect. These Terms of Service constitute the entire agreement between us regarding our service and supersede and replace any prior agreements we might have between us regarding the service.

Changes to Terms

philankddj reserves the right, at our sole discretion, to modify or replace these Terms of Service at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms.
